Terms of Membership

Important Notice Before Reading

These Terms of Membership ("Terms") govern your participation in the 150 programme operated by YouLabs Pte. Ltd. and its Indian affiliates ("YouLabs", "we", "us", "our"). By applying for membership, paying a membership fee, or using any 150 service, you agree to be bound by these Terms. Please read them carefully. If you do not agree, do not apply for or purchase a membership.

1. Nature of the 150 Programme

1.1 Wellness Programme, Not Medical Treatment. The 150 programme ("Programme") is a managed wellness programme. It is not a medical treatment, hospital service, clinical establishment, or diagnostic service within the meaning of the Clinical Establishments (Registration and Regulation) Act, 2010. Participation in the Programme does not create a doctor-patient relationship with YouLabs as an entity.

1.2 Physician Supervision. Certain elements of the Programme involve physician consultation. The physicians who consult with members are qualified medical professionals acting in their individual professional capacity. Their recommendations constitute medical advice and are governed by the applicable professional standards. YouLabs facilitates access to these physicians but is not responsible for independent clinical judgments made by them.

1.3 AI Agent. The 150 AI agent ("150 AI") provides structured wellness guidance, health tracking, and protocol reminders. It does not constitute a medical device, diagnostic tool, or prescription service. Outputs from 150 AI are wellness recommendations, not medical diagnoses. The 150 AI is designed to escalate clinical anomalies to a physician — it does not make autonomous clinical decisions.

1.4 Individual Results. Health outcomes are inherently individual. YouLabs makes no representation that participation in the Programme will produce any specific health outcome, change any specific biomarker, extend lifespan, or prevent, treat, or cure any disease or medical condition. The Programme is designed to support your health goals — not to guarantee them.

1.5 Not a Replacement. The Programme is designed to complement, not replace, your existing medical care. You should continue to follow the advice of your treating physicians. YouLabs does not recommend stopping any prescribed medication or treatment without explicit instruction from a qualified physician.

2. Membership and Payment

2.1 Annual Membership. All 150 memberships are sold as annual, non-cancellable commitments. By purchasing a membership, you commit to the full annual fee regardless of whether you use all elements of the Programme.

2.2 Non-Cancellable. Memberships may not be cancelled mid-term. This is a material term of the Programme. The annual, non-cancellable structure is what enables 150 to provide continuous, physician-supervised care — it cannot be economically delivered on a monthly or cancellable basis. You acknowledge and accept this before purchase.

2.3 Exceptions to Non-Cancellability. Notwithstanding Clause 2.2, YouLabs will provide a pro-rata refund of the unused portion of a membership in the following circumstances only: (a) the member's death; (b) a physician-certified serious medical condition that renders the member physically unable to participate for the remainder of the term; or (c) YouLabs ceases operations in the member's city without providing an equivalent alternative.

2.4 Pricing. Membership prices are as published at the time of purchase. YouLabs reserves the right to change prices for future membership periods with 30 days' written notice. Price changes do not apply to memberships already paid.

2.5 Taxes. All prices are exclusive of applicable GST and other taxes, which will be charged in addition at the prevailing rate.

3. Eligibility and Health Disclosure

3.1 Age. Membership is available only to individuals aged 18 years or above.

3.2 Health Disclosure. Before beginning any 150 protocol, members must complete a medical history questionnaire. You represent that the information you provide is accurate and complete. Failure to disclose relevant medical history may affect the safety or appropriateness of your protocol and releases YouLabs from liability for any adverse outcome attributable to such non-disclosure.

3.3 Fitness to Participate. By enrolling, you represent that you are not aware of any medical condition that would make participation in the Programme dangerous or inappropriate, or that you have disclosed any such condition to your 150 physician. YouLabs reserves the right to decline or suspend membership if a physician determines that participation poses a clinical risk.

4. Therapeutic and Supplement Protocols

4.1 Physician Direction. All therapeutic protocols — including but not limited to peptide protocols, incretin therapy management, hormone optimisation, and micronutrient supplementation — are physician-directed. No therapeutic element of the Programme is self-prescribed by the member.

4.2 Drug Supply. Where the Programme includes supply of licensed prescription medicines (including generic semaglutide or other DCGI-approved products), these are dispensed only on valid physician prescription in accordance with Indian pharmaceutical regulations. YouLabs facilitates prescription-based access — it does not manufacture, compound, or wholesale pharmaceuticals.

4.3 Peptides and Nutraceuticals. Certain Programme elements include peptide protocols and nutraceutical supplementation. These are not DCGI-licensed drugs. They are supplied as physician-compounded preparations or licensed food supplements under applicable regulations. YouLabs sources all such products from GMP-certified or ISO-certified manufacturers. Members may request a Certificate of Analysis for any supplied product.

4.4 Individual Suitability. Not all protocols are appropriate for all members. Your 150 physician will determine which elements of the Programme are appropriate for you based on your health history and biomarker data. YouLabs does not guarantee that any specific protocol will be available to any specific member.

4.5 Drug Interactions. You are responsible for disclosing all current medications to your 150 physician. YouLabs is not responsible for adverse interactions arising from medications or supplements not disclosed to your physician.

5. Data, Privacy, and the 150 AI

5.1 Health Data. By participating in the Programme, you consent to the collection, storage, and use of your health data (including biomarker results, AI check-in data, body composition measurements, and physician notes) for the purpose of providing the Programme. This data is collected and processed in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023 (DPDP Act).

5.2 DPDP Act Compliance. YouLabs is a Data Fiduciary under the DPDP Act. You are a Data Principal. You have the rights set out in the DPDP Act, including the right to access, correct, and request erasure of your personal data. To exercise these rights, contact [email protected]. YouLabs maintains a 72-hour breach notification protocol.

5.3 AI Agent Data Use. Data shared with the 150 AI agent is used to personalise your wellness protocol and to flag clinical anomalies for physician review. It is not sold, shared with advertisers, or used for purposes other than delivery of the Programme without your explicit consent.

5.4 Research Use. Anonymous, de-identified aggregate data may be used for clinical research and programme improvement. Individual member data is never used in research in an identifiable form without separate written consent.

6. Limitation of Liability

6.1 Wellness Programme Liability. To the maximum extent permitted by Indian law, YouLabs' liability for any claim arising from membership in the Programme is limited to the membership fees paid by the member in the 12 months preceding the claim.

6.2 Medical Advice. YouLabs is not liable for the independent clinical judgments of physicians who consult with members. Any clinical negligence claim must be directed at the physician in their individual professional capacity.

6.3 Consequential Damages. YouLabs is not liable for any indirect, consequential, or punitive damages arising from participation in or inability to participate in the Programme.

6.4 Force Majeure. YouLabs is not liable for failure to deliver Programme elements due to circumstances beyond its reasonable control, including regulatory changes, supply chain disruptions, or events of force majeure.

7. Intellectual Property

7.1 Proprietary Protocols. The clinical protocols, formulations, AI architecture, and Programme design are the proprietary intellectual property of YouLabs and its founding partners. Members may not reproduce, share, or commercialise any aspect of the Programme.

7.2 Member Content. Any feedback, testimonials, or health data you share with YouLabs may be used — in anonymised or aggregated form — to improve the Programme. We will seek your explicit consent before using your name, image, or identifiable information in marketing.

8. Programme Changes and Availability

8.1 Programme Evolution. YouLabs reserves the right to modify, update, or discontinue specific Programme elements in response to new clinical evidence, regulatory requirements, or supply conditions. Material changes will be notified 30 days in advance.

8.2 Geographic Availability. The Programme is currently available in select Indian cities. Physical clinic access requires attendance at a participating clinic in your city. Remote elements (AI agent, physician video consultation) are available nationwide.

9. Governing Law and Disputes

9.1 Governing Law. These Terms are governed by the laws of the Republic of India.

9.2 Dispute Resolution. Any dispute arising from these Terms will first be subject to a 30-day good-faith negotiation period. If unresolved, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator, seated in Delhi. The language of arbitration is English.

9.3 Jurisdiction. Subject to the arbitration clause, the courts of Delhi, India shall have exclusive jurisdiction over any matter arising from these Terms that is not subject to arbitration.

10. Miscellaneous

10.1 Entire Agreement. These Terms, together with the Privacy Policy and any signed Membership Agreement, constitute the entire agreement between the member and YouLabs with respect to the Programme.

10.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

10.3 Amendments. YouLabs may update these Terms with 30 days' notice. Continued use of the Programme after the notice period constitutes acceptance of the updated Terms.

This document is a commercial framework. Legal review is recommended before publication. YouLabs recommends review by an Indian healthcare and consumer protection lawyer before these Terms are published publicly.
